We provide strategic advice and guidance to all Brex teams, protect Brex, advise on risk, and represent the company externally, negotiating with partners and interacting with regulators. What you’ll do
As Commercial Counsel at Brex, you will be an integral and versatile member of the Legal team and will support all aspects of the Company’s commercial legal efforts. You will own the legal review of vendor procurement agreements, negotiating a wide range of contracts that support every team and department at Brex. You'll also provide support for Brex’s customer contracting efforts as needed. You will advise on legal issues that intersect with commercial matters, and collaborate with a wide range of cross-functional partners, including IT, procurement, privacy, security, marketing, people, product, and go-to-market. You will contribute to the development and implementation of commercial legal resources and processes, including internal policies and procedures and contracting workflows. You’ll provide sound and pragmatic legal advice and take a business-oriented approach to problem solving!
Responsibilities
- Draft, review, and negotiate a wide variety of inbound commercial contracts, including SaaS, software license agreements, and other technology agreements, master and professional services agreements, consulting agreements, marketing, agency, and media contracts, event agreements, and non-disclosure agreements.
- Drive continuous improvement in commercial contracting processes, including developing and refining contracting playbooks, internal policies and procedures, and leveraging and optimizing contract lifecycle management (CLM) workflows.
- Identify and mitigate contractual risks within established parameters, escalating complex issues to senior legal team members as needed.
- Support customer contracting efforts, including reviewing customer legal requests and drafting and negotiating customer agreements.
- Provide sound, business-oriented legal advice to cross-functional partners on contract terms, deal structures, and commercial legal risks and opportunities.
- Collaborate closely with internal stakeholders to understand business needs, contextualize transactions, and translate business, operational and product requirements into clear legal terms and conditions.

Requirements
- Entrepreneurial mindset and comfort with taking ownership and acting upon it; you welcome challenges and thrive in dynamic, fast-paced environments!
- Minimum of 3-5 years of relevant experience practicing commercial law, either in-house at a technology company or within the corporate/tech transactions department of a reputable law firm. Experience at fast-paced growing technology companies is preferred.
- Juris Doctor (JD) and active bar membership in good standing in at least one US jurisdiction.
- Demonstrated experience drafting, reviewing, and negotiating complex inbound technology and commercial contracts. Ability to view legal issues and solve problems within the context of business objectives.
- Exceptional judgment, attention to detail, and integrity, with the ability to manage multiple priorities and deadlines in a fast-paced environment.
- You are a builder, motivated by the continuous development and improvement of internal processes and resources.
- Flexible, adaptive, and always open to learning something new.
Bonus Points
- Working knowledge of privacy issues in a commercial context.
- Experience supporting customer contracting and a deal desk team.
- Fintech experience or familiarity with financial services product structures.
- Experience working with contract lifecycle management (CLM) technology.
Compensation
The expected salary range for this role is $224,640 -$280,800. However, the starting base pay will depend on a number of factors including the candidate’s location, skills, experience, market demands, and internal pay parity. Depending on the position offered, equity and other forms of compensation may be provided as part of a total compensation package.
