Premium Upgrade Terms

These Premium Upgrade Terms ("Upgrade Terms") are provided to Customer by Brex and are governed by the terms of the Brex Platform Agreement located at https://www.brex.com/legal/platform-agreement. Any capitalized terms not defined herein are defined in the Platform Agreement.

Free Trial

Eligible Customers upgrading from Essential to Premium may receive a free trial period of thirty (30) days, beginning on the date of trial activation and ending on the first day of the next billing cycle. Each Customer is eligible for one (1) free trial per lifetime. At the conclusion of the free trial period, the Premium subscription will automatically renew and convert to a paid monthly subscription, unless Customer cancels the subscription prior to renewal.

Fees

Customer will be billed on the first (1st) day of each subsequent month for the prior month's usage unless Customer cancels the subscription prior to renewal, which automatically occurs on the first business day of each month. Fees are calculated based on the number of active users during the prior billing period at a rate of $12 USD per active user per month. Customer agrees to pay all foreign, federal, state, and local taxes, if applicable, related to Customer's access to, use, or receipt of the Premium subscription.

If any invoiced amount is not received by Brex by its due date (other than amounts that are the subject of a good faith dispute, with respect to which Brex has been notified in writing prior to the applicable due date), your account will be considered delinquent. Delinquency in payment may result in a delay or suspension of access to Premium features.

Cancellation and Downgrade

Customer may cancel the Premium subscription at any time via the Dashboard or by contacting Brex support. Upon cancellation, Customer will continue to have access to Premium features until the end of the current billing cycle after which point, Customer will have access only to Essential features. Upon downgrading to Essential, certain Premium features may become read-only, inactive, or subject to reduced functionality at Brex’s discretion.

General Terms

Brex will provide Customer with access to Premium features solely as expressly set forth herein. Brex's ability to provide the Premium subscription is dependent on Customer providing Brex with accurate account and billing information. In the event of any conflict between these Upgrade Terms and the Platform Agreement, these Upgrade Terms will prevail.

These Upgrade Terms apply solely to self-serve Premium subscriptions purchased through the Brex product interface. These Upgrade Terms supersede and replace any prior terms or agreements for use of the Premium subscription signed by Customer, effective as of the date of trial activation or upgrade. Custom, negotiated, or enterprise agreements facilitated by Brex Sales are only governed by the terms of the applicable executed agreement.
