You will participate in this new merchant spend bonus Points offer (“New Merchant Spend Offer” or “Offer”), made available by Brex LLC (“Brex,” “we,” “us,” or “our”), by using your Brex card for card spend with qualifying New Merchants (described below). Offer is only open to current Brex customers that receive a New Merchant Spend Offer email (“Offer Email”). “You,” and “your” refer to the business participating in or seeking to participate in this Offer. By participating in this Offer, you agree to be bound by these terms, by the [Brex Rewards Terms](https://www.brex.com/legal/rewards), and by any other Brex agreements and terms applicable to you or the products and services you use (collectively, the “Terms”); see [brex.com/legal](https://www.brex.com/legal/platform-agreement) for more information.

By participating in this Offer you are eligible to earn bonus Points when you make Qualifying New Merchant Spend during each of the months, September and October, respectively, each a separate “Earning Period,” within the two-months-long period this Offer is available, the “Offer Window” (from September 1, 2026 to October 31, 2026). Each Earning Period ends on the last day of each month at 11:59 PM Pacific Time. “Qualifying New Merchant Spend” is net cleared transactions of Brex card spend with merchants or vendors that you did not pay via Brex cards in the previous two complete months prior to receiving your first Offer Email (“New Merchants”) and excludes transactions processed through Plastiq as well as certain transactions that do not earn rewards as outlined in our [Rewards Terms](https://www.brex.com/legal/rewards) and will be determined in Brex’s sole discretion.

Bonus Points earned will be calculated based on the net cleared transaction amounts of Qualifying New Merchant Spend during each Earning Period (defined below). For each Earning Period, you will earn bonus Points per Earning Period based on your total Qualifying New Merchant Spend in each Earning Period, as follows (up to a capped maximum of 15,000 bonus Points per calendar month):

Qualifying New Merchant Spend amount of $5,000-$9,999 = Earn 500 bonus Points

Qualifying New Merchant Spend amount of $10,000-$24,999 = Earn 1,000 bonus Points

Qualifying New Merchant Spend amount of $25,000-$49,999 = Earn 5,000 bonus Points

Qualifying New Merchant Spend amount of $50,000 or more = Earn 15,000 bonus Points

Your total Qualifying New Merchant Spend across all New Merchants during each Earning Period will be measured to determine the applicable bonus Points tier. Each Earning Period's Qualifying New Merchant Spend is measured independently for that Earning Period's tier. No bonus Points are earned below $5,000 of Qualifying New Merchant Spend for that Earning Period.

Bonus Points earned in each Earning Period will be granted in bulk within 30 days of the end of the Offer Window. All bonus Points earned through the New Merchant Spend Offer are in addition to any Points accrual under your current rewards structure with Brex. In order to receive bonus Points, your Brex Account must remain in good standing and not be in violation of any applicable Brex Terms at any time through the date the bonus Points are granted. As sole sponsor and administrator of this Offer, Brex reserves the right to cancel or modify the terms of this Offer or terminate any customer’s eligibility at any time and without prior notice. We reserve the right to disqualify you from participation in this Offer in the event of fraud, abuse of the program, or violation of these Terms or any other terms that may apply to you as determined in our reasonable discretion. Such termination may result in forfeiture of any accumulated rewards including bonus Points under this Offer. Account closure or suspension may result in the loss of any bonus Points that haven’t been applied to your account yet. We reserve the right to delay or not enforce any of our rights without waiving or losing our right to enforce them later.
