"You," and "your" refer to the business participating in or seeking to participate in this Offer. By participating in the Offer, you agree to be bound by these Offer Terms, by the [Brex Rewards Terms](https://www.brex.com/legal/rewards), and by any other Brex agreements and terms applicable to you or the products and services you use (collectively, the "Terms"); see [brex.com/legal](https://www.brex.com/legal/platform-agreement) for more information. In the event of a conflict between these Offer Terms and any other Brex agreement or terms, these Offer Terms control with respect to the subject matter of the Offer. **Eligible Businesses** The Offer is available only to businesses that satisfy the eligibility requirements described below and receive an email to activate this offer. To be eligible (an "Eligible Business"), you must, at the time of participation, satisfy all of the following: 1. apply for, be approved for, and activate a Brex account and any respective products as applicable; 2. be a new Brex customer that has not previously held a Brex account; 3. maintain your account, including each relevant product-specific account(s), i.e., Brex Card and/or Brex Business Account, as applicable, in good standing, and as determined by Brex in its sole discretion and in accordance with all Terms; and 4. participate in the Offer once per business. The Offer is non-transferable, may not be sold or assigned, may not be combined with any other offer, and has no cash alternative or surrender value. Brex reserves the right to verify eligibility and to withhold, reverse, or reclaim any benefit if eligibility is not met or cannot be verified. **Offer Conditional Benefits For Eligible Businesses** Subject to these Offer Terms, Eligible Businesses may earn one or more of the following benefits (each, a "Benefit" or "Conditional Benefit") if they satisfy the respective conditions on a per Benefit basis. Each Conditional Benefit is independent and subject to the specific conditions stated for it, below. Each Benefit can only be granted or awarded once per business. **Conditional Benefit #1:** **Up to $2,000 Cash Bonus (paid in Points, redeemable for cash)** If you apply for, are approved for, and activate a Brex account, you may earn a one-time grant of 100,000 Points, redeemable for a one-time cash amount of $1,000, subject to the Brex Rewards Terms and all Terms. To activate your Brex Card, you must spend on the Card; to activate your Brex Business Account, you must make a deposit to the account. In addition, if you deposit and maintain at least $100,000 in an eligible Brex Checking and/or Treasury account, you may earn an additional one-time grant of 100,000 Points, redeemable for an additional one-time cash amount of $1,000, subject to the Brex Rewards Terms and all Terms. Each grant under this Conditional Benefit #1 is independent and awarded only once per business. Points are redeemable for cash at a ratio of 1 Point to $0.01 for this Offer. Any manufacturer warranty is provided by the manufacturer, La Marzocco, not Brex, and Brex makes no warranties regarding the Promotional Awards. **Conditional Benefit #3: 1.5% Cash Back on Brex Card Spend (paid in Points, redeemable for cash)** If you apply for, are approved for, and activate your Brex Card by spending on it, you may earn Points equal to 1.5% cash back on all your Eligible Spend, subject to the [Brex Rewards Terms](https://www.brex.com/legal/rewards) and all Terms, and beginning no later than thirty (30) days after activating your Brex Card. You may continue to earn 1.5% cash back on your Eligible Spend for so long as your Brex Card remains open and in good standing in accordance with all Terms. "Eligible Spend" means transactions made and cleared on your Brex Card, and excludes any transactions that do not accrue Points under the Brex Rewards Terms, including cash equivalents, fees, fines, and disputed, returned, or charged-back transactions. Cash back is paid in Points and is subject to the Brex Rewards Terms and all Terms, including any conditions on award and redemption. Points are redeemable for cash at a ratio of 1 Point to $0.01 for this Offer. Points are granted and redeemable for cash 30 days after the qualifying conditions are met and verified. **Points; Redemption; Revocability** Each Benefit with a potential cash award is paid in the form of Points, which are redeemable for a cash amount at a ratio of 1 Point to $0.01, for this Offer, subject to the [Brex Rewards Terms](https://www.brex.com/legal/rewards). Redemption of Points for cash is governed by, and available as described in, the Brex Rewards Terms. Prior to redemption, Points are promotional and fully revocable and Brex may withhold, forfeit, expire, claw back, reverse, or disqualify unredeemed Points, including where an account is not in good standing or where Brex determines there has been fraud, abuse, gaming, or ineligibility. Points have no cash value except upon redemption in accordance with the Brex Rewards Terms. In addition to the revocability of unredeemed Points, Brex may withhold, reverse, or recover the value of any Benefit (including amounts already redeemed or the Promotional Awards or their value) if: (a) the relevant account is closed or becomes inactive; (b) qualifying balances are withdrawn below the required threshold before the end of any applicable holding period(s); (c) a chargeback, reversal, fraud, or misuse is identified; (d) you are determined to have been ineligible; or (e) you violate any Terms. **Modification; Suspension; Termination** Brex may modify, suspend, or terminate the Offer, any Benefit, or these Offer Terms, in whole or in part, at any time, without prior notice, except where notice is required by law. Any change is effective when posted or otherwise communicated. Your continued participation after a change constitutes acceptance of the change. To receive and retain any Benefit, you must remain in good standing throughout all applicable qualification and payout period(s), as determined by Brex in its sole discretion and in accordance with all Terms.
