To participate in this activation offer (“Activation Offer” or “Offer”), you must, between September 1, 2026 and September 30, 2026 (the “Offer Window”), apply for, be approved for, and activate a new Brex account and Brex Card, where activation occurs upon your first purchase on the card. To earn the Offer bonus of $1,000 USD statement credit (the “Offer Bonus”), you must then spend at least $4,000 USD in Qualifying Spend on your Brex Card within the first 30 days after your activation date (the “Earning Period”). “You,” and “your” refer to the business participating in or seeking to participate in this Offer. This Offer is made available by Brex LLC (“Brex,” “we,” “us,” or “our”). “Qualifying Spend” means net cleared transaction amounts in USD spent using your Brex Card during the Earning Period and excludes certain transactions, including: cash withdrawals, commercial utilities, money transfers, purchases of prepaid cards and cash equivalents, Fees and Fines on your Brex Account, transactions that are deemed fraudulent, disputed transactions or transactions subject to Chargebacks, and certain other non-Card payment transactions. We may determine that a transaction type, or particular transaction, is excluded from Qualifying Spend at any time. Transactions on any periodic statement for which payment is delinquent or for which all or a portion of the balance remains outstanding for any reason, may be excluded from Qualifying Spend. The Offer Bonus may only be awarded upon payment in full of amounts owed to Brex. This Activation Offer is only open to eligible new Brex customers and cannot be combined with any other promotional bonus offer. Qualifying for a Brex Account and Brex Card is not guaranteed. In order to receive the Offer Bonus, your Brex Account must remain in good standing and not be in violation of any applicable Brex terms at any time during the Earning Period and all applicable qualification and award periods. The Offer Bonus will typically be applied by your February 2027 statement.

As sole sponsor and administrator of this Offer, Brex reserves the right to cancel or modify these Terms or terminate any customer's eligibility at any time and without prior notice. We reserve the right to disqualify you from participation in this Offer in the event of fraud, abuse of the program, or violation of these Terms or any other terms that may apply to you as determined in our sole discretion. We reserve the right to delay or not enforce any of our rights without waiving or losing our right to enforce them later. Brex may withhold, forfeit, expire, claw back, reverse, or disqualify the Offer Bonus, whether or not it has been applied, including where your account is closed, suspended, or not in good standing, or where Brex determines there has been fraud, abuse, gaming, or ineligibility. Where Brex claws back or reverses an Offer Bonus that has already been applied as a statement credit, Brex may recover it by re-adding that amount to the amount owed.

You are solely responsible for any tax consequences arising from your participation in this Offer and receipt of the Offer Bonus. Brex does not provide tax advice; consult your own tax advisor regarding the treatment of the Offer Bonus. Where required, Brex may request tax documentation (such as an IRS Form W-9) or issue tax forms.
