Legal & Compliance at Brex
The Legal team helps the company grow responsibly, advocating for Brex and for the thousands of growing businesses we serve. We provide strategic advice and guidance to all Brex teams, protect Brex, advise on risk, and represent the company externally, negotiating with partners and interacting with regulators. What you’ll do
You will be an integral member of the Legal team and lead the commercial legal efforts for the Company. You will own the vendor and procurement commercial contracting process and be able to provide sound and pragmatic legal advice on commercial legal matters for cross-functional partners.  In addition to leading the contract review and approval process, you will partner with our Go-to-Market and product colleagues to negotiate, document and advise on strategic enterprise SaaS contracts. 

Responsibilities

  • Review, draft, negotiate and interpret a wide variety of commercial contracts including vendor agreements (such as SaaS and other license agreements), master and professional services agreements, non-disclosure agreements, consulting services agreements, business referral agreements, event space and marketing and promotional agreements
  • Act as the key legal lead on developing, negotiating and documenting, in partnership with business and product colleagues, highly-tailored agreements for SaaS offerings with strategic customers in the middle market and enterprise space
  • Drive continuous improvements, scalability and operational excellence in contract negotiation processes and execution, effectively collaborating with subject matter experts and leveraging our contract management platform to ensure that contracts are executed on a timely basis and with acceptable deal parameters
  • Contribute to various internal knowledge management initiatives, including building template agreements and contract intake flows, presentations and training initiatives to drive efficiency in contract completion and vendor onboarding allowing Brex to continue to scale in a risk appropriate manner
  • Be a business partner, not just an attorney

Requirements

  • Exceptional judgment and integrity, ability to handle multiple complex contract matters independently on tight timeframes, adept at making smart decisions in the face of ambiguity and imperfect information
  • Attention to detail and an ability to view legal issues within the context of business objectives, effectively coordinating and maintaining strong relationships with cross-functional business partners
  • Comfort owning and improving upon processes to achieve efficiencies and optimal outcomes. Experience working with contract management systems is a plus
  • Demonstrated experience in negotiating and closing complex software and SaaS contracts with large, sophisticated customers
  • Minimum 8 years’ working experience within the corporate, tech transactions or commercial law department of a reputable law firm, or a combination of experience between law firms and technology or fintech company in-house roles. Experience working at fast-paced technology companies is a plus
  • Entrepreneurial mindset and ability to work across various modes of communication; you thrive in dynamic, fast-paced environments
  • JD and admitted to practice in at least one jurisdiction
